1. Acceptance of Agreement

By accessing, browsing, or utilizing QuoteMaker.lk ("the Service", "the Platform", "we", "us"), you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions and our associated operational guidelines. If you do not agree to these terms, you must discontinue the use of our services immediately.

2. Nature of Service & Commercial Quotations

QuoteMaker.lk provides browser-based quotation generation, invoice creation, bill of quantities (BOQ) layouts, and printable vector A4 PDF export tools. Users understand that:

• Estimates vs. Contracts: A quotation produced on QuoteMaker.lk initially represents an invitation to treat or formal offer. It becomes a legally enforceable commercial contract only once accepted, counter-signed, or confirmed in writing (via electronic signature, email, or messaging) by the intended client.
• Validity Periods: We advise all Sri Lankan service businesses, contractors, and suppliers to specify a clear validity duration (e.g. 14 to 30 days) due to dynamic material price fluctuations in the domestic Sri Lankan market.
• Content Accuracy: Users bear full responsibility for the accuracy of all itemized descriptions, unit rates, quantities, currency denominations (LKR, USD, etc.), and contact information inputted into their documents.

3. Sri Lanka Statutory Taxes (18% VAT & 2.5% SSCL)

QuoteMaker.lk incorporates automated calculation toggles for the Value Added Tax (VAT 18%) and the Social Security Contribution Levy (SSCL 2.5%) in accordance with published guidelines from the Inland Revenue Department (IRD) of Sri Lanka:

• Tax calculation tools are supplied solely for computational convenience and workflow efficiency. QuoteMaker.lk does not offer chartered tax or accounting advice.
• Businesses must possess a valid 12-digit VAT Registration Certificate issued by the IRD before legally levying or collecting VAT on commercial invoices issued to clients.
• Users must verify statutory compliance with their certified tax advisors or accountants prior to submitting formal tax documents to authorities or clients.

4. Client-Side Privacy & Data Security

QuoteMaker.lk operates on a high-security, client-side first architecture:

• Zero Database Retention: Your quotation line items, pricing margins, client databases, project specifications, and domestic bank account numbers (e.g., Commercial Bank, Sampath Bank, HNB, BOC, People's Bank) are processed locally inside your web browser.
• LocalStorage Preservation: Business profile details saved via the "Save Profile" feature are stored exclusively in your browser's private LocalStorage on your device and are never transmitted to our remote databases.
• No Mandatory Accounts: The core quotation generator is available 100% free with zero mandatory account creation, zero email barriers, and no password requirements.

5. Electronic Signatures & Document Validity

Digital signatures drawn or uploaded onto QuoteMaker.lk documents are designed to facilitate electronic commercial transactions. Under the Electronic Transactions Act No. 19 of 2006 of Sri Lanka (as amended), electronic records and digital signatures carry legal recognition when consented to by the transacting parties. Users remain responsible for validating that electronic signatures satisfy the specific evidentiary standards required for their commercial contracts.

6. Intellectual Property & White-Label Ownership

You retain complete, unrestricted ownership of all commercial data, business information, trade terms, and client proposals entered into the generator. All PDF documents downloaded from QuoteMaker.lk are 100% white-label and free of platform watermarks. QuoteMaker.lk retains proprietary rights only to the underlying software code, web interface designs, and trade brand assets.

7. Disclaimer of Warranties & Limitation of Liability

QuoteMaker.lk is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Under no circumstances shall QuoteMaker.lk, its developers, or affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of, or inability to use, this platform, including but not limited to lost profits, quotation disputes, or calculation misinterpretations.

8. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka. Any dispute, controversy, or claim arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts of Colombo, Sri Lanka.
